These Terms of Use ("Terms") are a binding agreement between you and "Chaptr Inc." ("Chaptr," "we," "us," or "our"), a Delaware corporation with principal offices at 400 West 61st Street. They govern your access to and use of the Chaptr website at chaptr.film (the "Site"), the Chaptr mobile application, and any related services (collectively, the "Service").

PLEASE READ CAREFULLY. These Terms include an arbitration agreement and a class-action waiver in Section 17 that affect how disputes are resolved. By using the Service, you agree to these provisions to the extent permitted by law.

1. Acceptance of Terms

By creating a Chaptr account, accessing the Site, or using the Service in any way, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

We may update these Terms from time to time. Material changes will be communicated by email, in-app notice, or a prominent notice on the Site at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance.

2. Eligibility

2.1 Minimum Age

You must be at least 13 years old to use Chaptr. If you are under 13, you may not use the Service or create an account.

2.2 Users Under 18

If you are between 13 and 17, you represent that your parent or legal guardian has reviewed these Terms and consents to your use of the Service. We may require verifiable parental consent depending on your jurisdiction.

2.3 Geographic Restrictions

The Service is currently offered in the United States and select other markets. We may restrict access from certain countries or regions. You are responsible for compliance with the laws of your jurisdiction.

2.4 Prior Termination

If we have previously terminated your account or banned you from the Service, you may not create a new account without our prior written consent.

3. Your Account

3.1 Account Creation

To use most features of the Service, you must create an account. You agree to provide accurate, complete, and current information and to keep it updated. You are responsible for safeguarding your account credentials and for all activity under your account.

3.2 Account Security

Notify us immediately at support@chaptr.film if you suspect unauthorized access to your account.

3.3 One Account Per Person

You may not maintain more than one personal account, transfer your account to another person, or impersonate another person. Brand, business, and creator collective accounts are permitted under separate terms.

4. The Service

4.1 What Chaptr Does

Chaptr is a mobile-first streaming and creation platform for AI-generated short films, dramas, and serialized content. Viewers can watch films through a vertical, phone-native feed. Creators can produce, publish, grow an audience, and (where eligible) monetize their work using Chaptr's in-app creation tools and our partner AI infrastructure.

4.2 AI Creation Tools

Chaptr provides tools that generate films, scenes, characters, and related assets using artificial intelligence ("Creation Tools"). The Creation Tools draw on prompts, reference materials, and other inputs you provide. Outputs are generated by underlying machine-learning models that may produce unexpected, inaccurate, biased, or imperfect results. You are responsible for reviewing outputs before publishing them.

4.3 Permissions

The Service may request access to your device's photo library, camera, microphone, and notifications. You can grant or revoke these permissions in your device settings; some features will not function without them.

4.4 Beta Features

We may make new features available in beta or early-access form. Beta features are provided "as is," may be unstable, and may be modified or discontinued at any time.

4.5 No Guarantee of Availability

We may modify, suspend, or discontinue the Service (in whole or in part) at any time. We will use reasonable efforts to notify you of material discontinuations.

5. License to Use the Service

Subject to your compliance with these Terms, Chaptr grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use, and for the commercial use expressly permitted to Creators under our creator monetization terms.

You may not:

  • copy, modify, or create derivative works of the Service (other than user content you create through the Creation Tools);

  • reverse engineer, decompile, or disassemble the Service except as expressly permitted by law;

  • rent, lease, lend, sell, sublicense, distribute, or commercially exploit the Service itself (as distinct from content you create on it);

  • use the Service to develop a competing product;

  • use any automated means (bots, scrapers, crawlers) to access the Service except as expressly permitted by us;

  • use the Service to generate training data for a third-party AI model without our prior written consent;

  • circumvent, disable, or interfere with security, content-protection, watermarking, or provenance features.

6. User Content and the License You Grant Us

6.1 Definition

"User Content" means anything you create, upload, post, send, generate, or share through the Service, including films, scenes, scripts, prompts, reference materials, character sheets, audio, voiceovers, comments, reactions, messages, profile information, and any AI-generated outputs you produce using the Creation Tools.

6.2 Ownership

You retain ownership of your User Content to the maximum extent permitted by law. We do not claim ownership.

[REVIEW WITH COUNSEL: The copyright status of AI-generated outputs is unsettled in many jurisdictions, particularly under the US Copyright Office's 2023 guidance and subsequent rulings. This clause grants the user whatever rights they have under applicable law; it does not warrant that AI-generated outputs are independently copyrightable.]

6.3 License to Chaptr

By creating, uploading, generating, or sharing User Content on the Service, you grant Chaptr a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (e.g., apply automatic edits, captions, watermarks, format conversions), create derivative works (e.g., generate trailers, snippets, recommendation thumbnails), publicly perform, display, and distribute the User Content for the purpose of operating, providing, and promoting the Service.

This license is limited as follows:

  • It applies only to User Content you knowingly create, generate, or share through the Service.

  • It terminates when you delete the User Content or your account, except (a) for User Content already viewed or saved by another user (which they may have downloaded or shared), (b) for content you have published publicly that has been reshared on third-party platforms by you or others, and (c) for backup, legal, or trust-and-safety records we are required to retain.

6.4 Promotional Use

We may showcase exemplary User Content in marketing of the Service (for example, on the App Store, in social-media posts, in advertising, or in press materials). If you do not want your User Content used promotionally, opt out in your in-app settings or contact support@chaptr.film.

6.5 AI Training

We do not use your User Content or your Creation Tool inputs to train third-party foundation models without your separate, explicit consent. We may use aggregated and de-identified usage signals (which films succeed, which prompts produce safe and useful outputs) to improve the Service, including the safety and quality of our Creation Tools.

6.6 Your Representations About User Content

You represent and warrant that:

  • you have all necessary rights to your User Content and to grant the license above, including rights in any reference images, audio, scripts, or third-party material you upload;

  • you have obtained the consent of all identifiable individuals depicted in your User Content (or, where applicable, the consent of their parent or guardian) to be filmed, generated, or have their likeness used as described in these Terms;

  • your User Content does not infringe any third-party copyright, trademark, right of publicity, right of privacy, or other right, and does not violate any law;

  • where your User Content is generated by Creation Tools using prompts referencing real people, public figures, or copyrighted characters, you have a lawful basis for the depiction (e.g., parody, commentary, license, fair use, or the subject's consent) and accept full responsibility for the depiction.

6.7 AI Provenance and Watermarking

Films and scenes generated using Chaptr's Creation Tools may be embedded with provenance metadata and/or visible or invisible watermarks identifying them as AI-generated. You may not strip, modify, or attempt to defeat these markers, including when exporting or downloading content.

7. Acceptable Use

You agree not to use the Service to:

  • harass, bully, threaten, stalk, or intimidate any person;

  • create or share User Content that sexualizes minors in any form, including AI-generated depictions (zero-tolerance);

  • generate or share non-consensual intimate imagery, including AI-generated nudity or sexual content depicting any identifiable real person without their explicit consent;

  • generate or share deepfakes of identifiable real people in misleading contexts (fake news, fraudulent endorsements, false statements of fact attributed to them, or in any way intended to deceive viewers about authenticity);

  • generate or share content that depicts graphic real-world violence, gore, torture, or that promotes self-harm or eating disorders;

  • generate or share content that promotes terrorism, violent extremism, or organized hate;

  • generate or share content that infringes the copyright, trademark, or other intellectual-property rights of any third party — including reproductions of copyrighted characters, branded universes, film franchises, or other protected IP for distribution beyond what is permitted by fair use, fair dealing, or applicable law;

  • impersonate any person or misrepresent your affiliation with any person or entity;

  • post content that is defamatory, hateful, discriminatory, or that incites violence;

  • engage in any activity that violates law (including export controls, sanctions, intellectual-property law, election law, or privacy law);

  • transmit viruses, malware, or harmful code;

  • attempt to gain unauthorized access to the Service or to other users' accounts;

  • spam, send unsolicited messages, or operate fake accounts (including coordinated networks of accounts);

  • artificially manipulate metrics (views, follows, likes) through bots, paid engagement, or other inauthentic means;

  • buy, sell, or transfer accounts, generation credits, or virtual items outside the Service;

  • use the Service to generate training data for a third-party AI model;

  • circumvent content-safety classifiers, age gates, watermarks, or provenance features.

7.1 AI-Specific Prohibited Uses

The following are categorically prohibited and may result in immediate account termination:

  • Sexual content involving minors, including stylized, fictional, or AI-generated depictions.

  • Non-consensual deepfakes, including sexual deepfakes of any identifiable person and non-sexual deepfakes used to defraud, defame, or deceive.

  • Generation of weapons, dangerous goods, or operational instructions that could enable real-world harm.

  • Voice cloning of identifiable real people without their documented consent.

  • Generation of content for political deception, including fabricated statements attributed to candidates or officials, or fabricated election-related events.

7.2 Reporting Abuse

You can report abuse, IP infringement, harassment, or policy violations in two taps from any film or user profile, or by emailing safety@chaptr.film. We aim to review reports within 24 hours for safety-critical content and act on confirmed violations promptly.

8. Purchases, Subscriptions, and Creator Monetization

8.1 Generation Credits and Virtual Items

The Service may include generation credits, subscriptions, cosmetic items, and similar items ("Virtual Items") that you can use to generate films, unlock features, or customize your profile. Virtual Items are licensed to you, not sold. You have no ownership interest in them, and they cannot be redeemed for real money or transferred outside the Service except as expressly provided in our creator monetization terms.

8.2 Subscriptions

If you subscribe to a paid plan, your subscription will renew automatically at the end of each billing period unless you cancel before the renewal date through your App Store or Play Store account settings.

8.3 Purchases

In-app purchases are processed by Apple, Google, or other authorized payment processors. All purchases are final and non-refundable except where required by law or expressly stated in our refund policy. Payment-processor terms apply in addition to these Terms.

8.4 Pricing and Taxes

Prices are shown in your local currency where available. You are responsible for any applicable taxes.

8.5 Refunds

In-app purchase refund requests must be submitted to Apple or Google (depending on your platform) per their refund policies. We will honor refunds we are required to provide by law, including, where applicable, the right to withdraw within 14 days under EU/UK consumer law for non-digital goods.

8.6 Creator Monetization

Eligible Creators may earn revenue through Chaptr's creator monetization programs, governed by separate Creator Terms incorporated here by reference. Eligibility, payout thresholds, payment methods, tax reporting, and dispute procedures are described in those terms.

9. Intellectual Property

9.1 Our IP

The Service, including all software, designs, text, graphics, sounds, audiovisual content created by Chaptr, and trademarks (such as "Chaptr" and the Chaptr logo), is owned by Chaptr or our licensors and is protected by US and international intellectual-property laws. Except for the limited license in Section 5, no rights are granted to you.

9.2 Third-Party Trademarks

References to Apple, Google, TikTok, Instagram, and other third-party marks are for identification only and do not imply endorsement.

9.3 Feedback

If you send us feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.

10. DMCA / Copyright Infringement

If you believe content on the Service infringes your copyright, send a notice to our designated agent including the elements required by 17 U.S.C. § 512(c)(3):

We will respond per the DMCA process. Repeat infringers will have their accounts terminated.

11. Termination

11.1 By You

You may delete your account at any time through in-app settings or by emailing privacy@chaptr.film.

11.2 By Us

We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, for legal or regulatory reasons, or to protect the safety of our users.

11.3 Effect of Termination

Upon termination, your right to use the Service ends. Sections that by their nature should survive (including Sections 5, 6.3, 7, 8, 9, 12, 13, 14, 15, 16, 17, and 18) will survive.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES.

OUR CREATION TOOLS USE MACHINE-LEARNING MODELS THAT MAY PRODUCE INACCURATE, BIASED, UNEXPECTED, OR OTHERWISE IMPERFECT RESULTS. YOU ARE RESPONSIBLE FOR REVIEWING OUTPUTS BEFORE PUBLISHING OR RELYING ON THEM. WE DO NOT WARRANT THAT OUTPUTS WILL BE FREE OF THIRD-PARTY INTELLECTUAL-PROPERTY CLAIMS OR THAT THEY WILL BE INDEPENDENTLY COPYRIGHTABLE.

WE DO NOT WARRANT THE CONDUCT OF OTHER USERS OR THE ACCURACY OR APPROPRIATENESS OF THEIR USER CONTENT.

Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the above exclusions apply only to the extent permitted by law.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAPTR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, REGARDLESS OF THE LEGAL THEORY, EVEN IF CHAPTR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

CHAPTR'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID CHAPTR IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$100.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, the above limitations apply only to the extent permitted by law. Nothing in these Terms limits liability for fraud, willful misconduct, or any other liability that cannot be excluded by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Chaptr and its officers, directors, employees, agents, and affiliates from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • your use of the Service;

  • your User Content (including AI-generated outputs you publish);

  • your violation of these Terms;

  • your violation of any third-party right (including privacy, publicity, or intellectual-property rights);

  • your violation of any law.

15. App Store Terms (Apple-Specific)

If you access the Service via the Apple App Store, the following also applies:

  • These Terms are between you and Chaptr, not Apple. Apple is not responsible for the Service or its content.

  • Apple has no obligation to provide maintenance or support for the Service.

  • In the event of any failure to conform to applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation.

  • Chaptr, not Apple, is responsible for addressing any product or third-party intellectual-property claims related to the Service.

  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

16. Google Play Terms

If you access the Service via Google Play, you agree to comply with the Google Play Terms of Service in addition to these Terms.

17. Disputes; Arbitration; Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO RESOLVE DISPUTES WITH CHAPTR THROUGH BINDING ARBITRATION ON AN INDIVIDUAL BASIS, NOT IN COURT, AND WAIVES YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION OR JURY TRIAL.

17.1 Informal Resolution

Before filing any formal dispute, you agree to first contact us at legal@chaptr.film and try to resolve the issue informally for at least 60 days.

17.2 Binding Arbitration

If informal resolution fails, any dispute arising from or related to these Terms or the Service ("Dispute") will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules (or, for claims under US$25,000, JAMS' Consumer Minimum Standards). Arbitration will be conducted in New York County, New York, or by video conference at your election, and in English.

17.3 Class-Action Waiver

You and Chaptr agree that each may bring claims against the other only on an individual basis, not as a plaintiff or class member in any class, collective, or representative action. The arbitrator may not consolidate more than one person's claims and may not preside over any class or representative proceeding.

17.4 30-Day Opt-Out

You may opt out of this arbitration agreement by sending a written notice to [PLACEHOLDER — LEGAL ENTITY NAME], Attn: Legal, [PLACEHOLDER — NYC ADDRESS], USA, postmarked within 30 days of the date you first agree to these Terms. The notice must include your name, account email, and a clear statement that you wish to opt out of arbitration.

17.5 Exceptions

Either party may bring an action in small-claims court for individual claims within that court's jurisdiction, or seek injunctive relief in court for intellectual-property infringement.

17.6 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. The Federal Arbitration Act governs the arbitration provisions. For Disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in New York County, New York.

17.7 California Residents

Nothing in this Section limits your rights under California Civil Code § 1542, the California Consumer Privacy Act, or other non-waivable California consumer protections.

18. General

18.1 Entire Agreement

These Terms and the documents they reference (Privacy Policy, Community Guidelines, Creator Terms, additional rules for specific features) constitute the entire agreement between you and Chaptr regarding the Service.

18.2 Severability

If any provision is held unenforceable, the remaining provisions remain in full force.

18.3 No Waiver

Our failure to enforce any provision is not a waiver of that provision.

18.4 Assignment

You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.

18.5 No Third-Party Beneficiaries

Except as set out in Section 15 (Apple), there are no third-party beneficiaries to these Terms.

18.6 Force Majeure

Neither party is liable for any failure or delay caused by circumstances beyond its reasonable control.

18.7 Notices

We may notify you by email, in-app message, or notice on the Site. You may notify us at legal@chaptr.film or by mail to [PLACEHOLDER — LEGAL ENTITY NAME], [PLACEHOLDER — NYC ADDRESS], USA.

18.8 Export Controls

You agree to comply with all US and international export-control laws and not to use the Service in any country subject to a US embargo.

18.9 Government End Users

The Service is "Commercial Computer Software" and "Commercial Computer Software Documentation" under FAR 12.212 / DFARS 227.7202.
